1. Terms
Welcome to the user Agreement (the "Agreement" or "User Agreement") for Hylidix LLC. This Agreement describes the terms and conditions applicable to your use of our products and services. The terms "We", "Our(s)", "Hylidix.com" or "Us" may be used interchangeably throughout this Agreement and refer to Hylidix LLC. If you do not agree to be bound by the terms and conditions of this Agreement, you are not permitted to access Our website, resources, or services.

You must read, agree with and accept all of the terms and conditions contained in this User Agreement and the Privacy Policy, which include those terms and conditions expressly set out below and those incorporated by reference, before you may use or become a member of Hylidix.com or use Hylidix LLC products or services. You agree that you are solely responsible for compliance with these terms and all applicable laws and regulations. If you do not agree with any of these terms you should immediately discontinue use of this website.

2. Use License
Permission is granted to temporarily download one copy of the materials (information or software) on the Hylidix LLC web site for transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• modify or copy the materials;
• use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
• attempt to decompile or reverse engineer any software contained on the Hylidix.com web site;

3. Disclaimer of Warranties
Hylidix.com and the materials contained herein, as well as Our products and services are provided by Hylidix LLC on an "as is" and "as available" basis. We shall have no liability for any interruptions in the use of this website, including factors within or beyond our control, nor do we guarantee continuous, uninterrupted, error-free or secure access to Hylidix.com. Such factors include, but are not limited to server downtime, password/verification problems, or network outages beyond our servers. Furthermore, Hylidix LLC does not warrant that the functions contained in the materials, resources or services offered will be uninterrupted or error-free, that defects will be corrected, or that said offerings are free of viruses or other harmful elements. In no event will Hylidix LLC be liable to any party for any direct, indirect, punitive, special, incidental or other consequential damages arising directly or indirectly from any use of the products or resources contained within the Hylidix.com website.

We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement of intellectual property or other violation of rights. Further, Hylidix LLC does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of our products, services, the materials on Our website or otherwise relating to such materials or on any sites linked to or from this site. The materials appearing on the Hylidix.com web site could include technical, typographical, or photographic errors. Hylidix LLC does not warrant that any of the materials on its web site are accurate, complete, or current. We may make changes to the materials contained on its web site at any time without notice. Hylidix LLC does not, however, make any commitment to update the materials.

4. Limitation of Liability
In no event shall Hylidix LLC be liable for any damages whatsoever including but not limited to any punitive, special, direct, indirect, incidental, or consequential, or damages for lost profits, loss of revenue or loss of use arising out of the use, misuse, or inability to use the Hylidix.com website, the materials and information contained therein, or any Hylidix product or service, whether such damages arise under contract, statute, tort (including negligence or strict liability), in equity, at law or any other theory of liability, even if Hylidix LLC or a Hylidix LLC authorized representative has been notified orally or in writing of the possibility of such damages. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. Our liability for damages, regardless of the form of the action, shall not exceed the fee paid for the service.

5. Minimum Age
Services are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors. You must be AT LEAST 18 years old to access the Hylidix.com website, resources, and services.

6. Indemnification
You agree to indemnify and hold Hylidix LLC, its parents, subsidiaries, affiliates, officers, and employees harmless from any claim, suit or demand, including reasonable attorneys' fees and costs, made by any third party due to or arising out of your use of Hylidx LLC services, products, the Hylidix.com website, associated content and services, violation or breach of this Agreement, infringement of intellectual property or any other right of any person or entity, or any other act or omission by you.

7. No-SPAM Policy
DO NOT use Our services to send any sort of SPAM communications. SPAM shall include, but is not limited to, the sending of any electronic mail message with the primary purpose of commercial advertisement or promotion of a commercial product or service (including content on an Internet website operated for commercial purposes). The term "commercial electronic mail message" does not include a transactional or relationship message.

DO NOT include ANY reference to Hylidix LLC in any such correspondence... PERIOD! Anyone discovered by or reported to Hylidix LLC as sending SPAM will be immediately reported to the FTC for violation of the CAN SPAM act of 2003. In addition, DO NOT use the Hylidix LLC name, brand or logo in any type of correspondence to third party mailing or 'opt in' lists, harvested email lists, "safelists", newsgroups, forums, "faxblasts", or any other form of communication that has been labeled as illegal by the CAN SPAM law.

Any Hylidix LLC member/affiliate/user that uses SPAM in any association with Hylidix LLC, its brand or logo shall have their memberships and services terminated immediately, will forfeit any and all refunds, will be reported to the FTC, and will be held both legally and financially responsible for their actions.

8. Third Party Sites and Information
Hylidix LLC has not reviewed all of the sites linked to its Internet web site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply our endorsement of the site. Use of any such linked web site is at your own risk.

Our website may include links to other websites that are owned and operated by online merchants and other third parties. You acknowledge that we are not responsible for the availability of, or the content located on or through, any third-party site. Your use of third-party sites is subject to the terms of use and privacy policies of each individual site, and we are not responsible for any such terms.

While Hylidix LLC makes every effort to ensure that the information on our website is accurate, we make no warranties or representations whatsoever with regard to any product, service or information offered by any online merchant or other third party, including such information that may be provided on the Hylidix.com website. You acknowledge that any reliance on representations and warranties provided by any third party shall be at your own risk.

9. Copyrights and Trademarks
All content included or available in Hylidix LLC products, services, advertising material and on the Hylidix.com website, including site design, text, graphics, software, interfaces and the selection and arrangements thereof is copyright ©2010 Hylidix LLC, with all rights reserved and is protected by applicable domestic and international copyright and trademark law. Any use of materials on the website, including reproduction for purposes other than those previously noted, modification, distribution, replication, any form of data mining or extraction or other commercial exploitation of any kind, without prior written permission from Hylidix LLC is strictly prohibited.

"Hylidix.com", "Hylidix LLC", "Hylidix", "Hylidix Custom Computers", the Hylidix logo and all other uses of the Hylidix name are proprietary marks of Hylidix LLC. Hylidix LLC trademarks may not be used in connection with any product, service, website or other information or communication that is not provided by Hylidix LLC and shall not be used in any manner that can cause confusion among customers or disparages or discredits Hylidix LLC or any of its website properties.

All other trademarks, service marks and proprietary marks displayed within Hylidix LLC products, services, marketing materials, communications, on the Hylidix.com website or on any websites owned by Hylidix LLC are property of their respective owners and do not constitute any endorsement or recommendation of those third parties by Hylidix LLC. In addition, use of such marks is not intended to imply, directly or indirectly, that those third parties endorse or recommend Hylidix LLC or have an operating agreement or affiliation with Hylidix LLC.

10. Licensing Restrictions
Users agree to abide by any and all licensing rules or restrictions that have been created by the owners of the works contained within the Hylidix.com website, marketing materials, communications, products or services. We do not create or enforce any minimum or maximum sales prices. Any figures presented are only offered as suggested retail prices.

11. Governing Law
The Hylidix.com website is operated and provided in the Commonwealth of Massachusetts, as are our products and services. As such, we are subject to the laws of the Commonwealth, and such laws will govern this Agreement, without giving effect to any choice of law rules. We make no representations that our website or other services are appropriate, legal or available for use in other locations. If you choose to access our site you agree to do so subject to the internal laws of the Commonwealth of Massachusetts.

You assume all knowledge of applicable law and are responsible for compliance with any such laws. You may not use this website or any content, service, product or software in any way that violates applicable local, state, federal or international laws, regulations or other government requirements. You further agree not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, federal or international law or regulation.

Any claim relating to Hylidix LLC services, products or the Hylidix.com web site shall be governed by the laws of the Commonwealth of Massachusetts without regard to its conflict of law provisions. If any provision of this Agreement shall be unlawful, void or unenforceable for any reason, the other provisions (and any partially enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent. You agree that this Agreement and any other agreements referenced herein may be assigned by Hylidix LLC, at our sole discretion, to a third party in the event of a merger or acquisition. This Agreement shall apply in addition to, and shall not be superseded by, any other written agreement between us in relation to your use of the Hylidix LLC website, content, products, services or any business relationships with Hylidix LLC. By accepting this Agreement, you are consenting to the potential use and disclosure of your personally identifiable information and other practices as described in our Privacy Policy.

12. Modifications to This Agreement
We reserve the right, at any time, to modify, alter, or update this Agreement without prior notice. Modifications shall become effective immediately upon being posted on the Hylidix.com website. Your continued use of Hylidix LLC products, services or the Hylidix.com website after amendments are posted constitutes your acknowledgement and acceptance of the Agreement and its modifications. Except as provided in this paragraph, this Agreement may not be amended.
